Terms of Service
Last updated: October 2026
Please read these Terms carefully. They are a legal agreement between you (or the business you represent, the "Customer") and Hylix Consulting LLC ("we", "us"), which operates Proxelion at https://www.proxelion.com. By creating an account or using the service you agree to them. If you use the service for a company, you confirm you have authority to bind it.
The agreement consists of, in this order of priority: any written order or special terms we agree with you; these Terms; the Data Processing Agreement; the Sending Policy; and the Privacy Policy.
1. Definitions
| Term | Meaning |
|---|---|
| Service | Proxelion: the website, application, AI tools and related services we provide. |
| Customer Data | Everything you or your users put into the Service, including contacts, prospect details, drafts, templates and connected-mailbox information. |
| Contacts | The people you research, email or receive replies from through the Service. |
| Connected Mailbox | A business email account you connect so the Service can send mail as you. |
| AI Output | Text, scores, summaries and other content the Service generates for you. |
2. The Service
Proxelion is a tool for business-to-business email outreach. It helps you research companies and contacts, write emails with AI, send them from your own business mailbox, schedule follow-ups, and handle replies. We may improve, change or remove features, and will try to give notice of changes that significantly reduce what you paid for. The Service is for professional use and is not available to anyone under 18.
3. Accounts
- Sign in with a Google account. You must give accurate information and keep it current.
- Keep your sign-in secure. You are responsible for everything done under your account and must tell us at once about unauthorised use.
- One account is for one person. Plans that include more seats say so on the pricing page.
- Only business email addresses can be connected for sending. Personal webmail addresses (such as Gmail, Yahoo or Outlook.com) are not supported.
4. Customer Data and Contacts
Ownership. You own your Customer Data. You give us the rights we need to host, copy, transmit and process it to provide the Service to you, and for no other purpose.
Your responsibility.You are the controller of your Contacts' personal data and we are your processor, as set out in the Data Processing Agreement. You promise that:
- you have the right to use the Customer Data and to contact each Contact, and a lawful basis for doing so;
- your use of the Service complies with the laws that apply to you and to your Contacts, including anti-spam, marketing and privacy laws;
- you will not upload special-category data (for example health data) or government identifiers;
- you will honour opt-outs and objections from Contacts.
Backups. Keep your own copies of anything important. You can delete Customer Data in the product, and you can ask us for an export.
5. Acceptable use
You must follow the Sending Policy. You must not:
- send spam or unsolicited bulk email, or break CAN-SPAM, CASL, GDPR, PECR or any other law;
- remove, hide or alter the unsubscribe link, or keep emailing someone who has opted out;
- send illegal, deceptive, harassing, defamatory or harmful content, or impersonate any person or business;
- use the Service to build or sell lists of people, or to resell leads;
- probe, scan, overload or try to break the Service or its security, or access it by automated means beyond normal use;
- copy, reverse engineer or build a competing product from the Service;
- resell, sublicense or share your account without our written consent.
6. Connected mailboxes and third-party services
- When you connect a mailbox we store the connection details encrypted, and use only the permissions you approve: to send email you send through the Service, and for Microsoft 365 and IMAP mailboxes, to find replies from people you emailed.
- You can disconnect at any time in Settings, which deletes the stored credentials.
- The Service works with third-party services such as Google, Microsoft, Stripe and data providers. Their terms apply to your use of them, and they may change or interrupt their services. We are not responsible for them.
- You are responsible for following the rules and limits of your mailbox provider.
7. AI Output
AI can produce text that is inaccurate, out of date or unsuitable. AI Output is a draft: you must review it and check names, facts and claims before you send it. You are responsible for every email sent from your account. You may use AI Output however you like; we claim no rights in it, but we cannot promise it is unique or free of third-party rights.
8. Support
We provide support by email at support@hy-lix.com and through the in-app chat, on a reasonable-efforts basis. We do not guarantee a response time.
9. Plans, fees and taxes
- Paid plans (Solo, AI SDR and Scale) are billed monthly or annually in advance through Stripe, and renew automatically until you cancel.
- You can cancel at any time in the billing portal. You keep access until the end of the period you paid for.
- Fees are non-refundable, including for unused time, except where the law requires otherwise or we say so in writing.
- Prices exclude taxes, which are added where required and are your responsibility.
- Email credits and usage limits are shown on your plan and reset each billing period. Unused credits do not carry over.
- We will give at least 30 days' notice before changing prices for existing subscribers. If you do not accept a change, you can cancel before it applies.
- If a payment fails, we may suspend paid features until it is resolved.
10. Suspension and termination
- You can close your account at any time in Settings. This deletes your data as described in the Privacy Policy.
- We may limit, suspend or end your access if you break these Terms, the Sending Policy or the law, if your use puts other users or our systems at risk, or if you do not pay. Where the risk is serious we may act immediately.
- We may end a free account on reasonable notice.
- On termination, your right to use the Service stops, and amounts you owe become due. Sections that by their nature should continue, such as ownership, liability and governing law, do.
11. Our rights
The Service, including its software, design and brand, belongs to Hylix Consulting LLC. We grant you a limited, personal, non-exclusive, non-transferable right to use it while your account is active. If you send us suggestions, we may use them without restriction or payment.
12. Confidentiality
Each party will keep the other's non-public information confidential, use it only to perform this agreement, and protect it with reasonable care. This does not cover information that is public through no fault of the receiver, already known to it, independently developed, or that must be disclosed by law.
13. Warranties and disclaimer
Each party confirms it has the authority to enter into this agreement. Apart from that, the Service is provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not promise the Service will be uninterrupted or error-free, or that emails will be delivered, opened or answered, or that you will get any business result.
14. Limit of liability
To the extent the law allows: neither party is liable for indirect, incidental, special or consequential loss, including lost profit, revenue, data or goodwill; and our total liability for all claims arising from this agreement is limited to the fees you paid us in the 12 months before the event that led to the claim. We are not liable for emails blocked, delayed or filtered by recipients or mailbox providers. Nothing in these Terms limits liability that cannot be limited by law, such as for fraud or wilful misconduct.
15. Indemnity
You will defend us against, and pay costs and damages from, third-party claims and regulatory actions arising from your Customer Data, your emails and campaigns, or your breach of these Terms or the law, including claims from your Contacts. We will tell you promptly of any claim and give reasonable help at your cost.
16. Changes to these Terms
We may update these Terms. For material changes we will give notice by email or in the product at least 14 days before they apply. If you keep using the Service after that, you accept the new Terms. If you do not agree, you can close your account before then.
17. General
- Notices: we will send notices to your account email; you can reach us at support@hy-lix.com.
- Assignment: you may not transfer this agreement without our written consent. We may transfer it to a successor to our business.
- Events beyond control: neither party is liable for delay or failure caused by events outside its reasonable control, including outages of internet, hosting or third-party providers.
- Severability and waiver: if a provision is unenforceable, the rest continues. Not enforcing a right is not a waiver of it.
- Entire agreement: this agreement replaces earlier understandings on its subject. It can be changed only as described in section 16 or in writing signed by both of us.
- Subcontractors: we may use subcontractors and remain responsible for them as described in the DPA.
18. Governing law and disputes
These Terms are governed by the laws of the place where Hylix Consulting LLC is established. The courts of that place have exclusive jurisdiction, unless mandatory consumer or data protection law gives you the right to go elsewhere. Before starting a claim, each side will try in good faith to resolve the matter by talking, for at least 30 days.
