1. Acceptance of Terms

By accessing or using Proxelion ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service. These Terms apply to all users, including visitors, registered users, and subscribers.

2. Description of Service

Proxelion is an AI-powered B2B cold email platform that helps users research prospects, generate personalized cold emails, and optionally send them via a connected Gmail account. The Service includes AI writing tools, email scoring, follow-up sequences, prospect research, and an AI outreach agent ("Prox").

AI-generated content is provided as a starting point. You are solely responsible for reviewing, editing, and ensuring the accuracy of all content before sending it to any recipient.

3. Eligibility & Account Registration

You must be at least 18 years old and capable of forming a legally binding contract to use Proxelion. By creating an account, you represent that all information you provide is accurate and that you will keep it up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at youssef@proxelion.com if you suspect any unauthorized use of your account.

4. Acceptable Use

You agree to use Proxelion only for lawful purposes and in accordance with these Terms. You must not use the Service to:

Send spam, unsolicited bulk email, or messages that violate the CAN-SPAM Act, GDPR, CASL, or any other applicable anti-spam or data protection law
Generate or distribute harassing, defamatory, fraudulent, or misleading content
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Attempt to gain unauthorized access to any part of the Service or its infrastructure
Use automated tools to scrape, crawl, or extract data from the Service beyond normal use
Resell, sublicense, or commercially exploit the Service without our written consent

You are solely responsible for compliance with email marketing regulations in your jurisdiction. We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

5. Gmail Integration

Proxelion offers an optional Gmail integration that allows you to send emails directly from your Gmail account via the Service. By connecting your Gmail account, you grant Proxelion permission to send emails on your behalf using the gmail.send scope only.

We do not read, store, or process the contents of your inbox. OAuth tokens are stored securely and used exclusively to send emails you explicitly compose and approve within the Service. You may disconnect your Gmail account at any time from Settings, which immediately revokes all stored tokens.

You are responsible for ensuring that emails sent through your connected Gmail account comply with all applicable laws and Google's terms of service. Proxelion is not liable for any consequences arising from emails you send using this integration.

6. Credits, Subscriptions & Billing

Proxelion offers a free tier with a limited monthly credit allowance, and paid subscription plans (Pro and Scale) with higher limits. Credits reset at the start of each billing cycle and do not carry over.

Paid subscriptions are billed monthly or annually in advance via our payment processor (Polar.sh). All fees are non-refundable except where required by applicable law. We reserve the right to modify pricing with at least 30 days' written notice to active subscribers. Continued use of a paid plan after a price change constitutes acceptance of the new pricing.

If a payment fails, access to paid features may be suspended until the outstanding balance is resolved.

7. Intellectual Property

You retain full ownership of all content you provide as input to the Service. AI-generated output produced using your input is granted to you for your unrestricted use; Proxelion makes no claims to that content.

All rights in the Proxelion platform, brand, software, and underlying technology remain the exclusive property of Proxelion. Nothing in these Terms transfers any intellectual property rights to you beyond the limited license to use the Service as described herein.

8. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Proxelion, you agree to the collection and use of your information as described in the Privacy Policy.

9. Account Termination

You may delete your account at any time from Settings → Delete Account. Upon deletion, all your data — including generated emails, templates, and connected Gmail tokens — will be permanently removed from our systems.

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or for any other reason with reasonable notice. In cases of serious violations, termination may be immediate and without notice.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

We do not guarantee any specific results, reply rates, deliverability rates, or business outcomes from using AI-generated emails or any other feature of the Service.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Proxelion and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, goodwill, or business opportunities — arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid to Proxelion in the twelve (12) months preceding the claim.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with applicable international commercial law. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration or the competent courts in the jurisdiction where Proxelion operates. You agree to resolve disputes individually and waive any right to participate in a class action.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by displaying a prominent notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the revised Terms.
